Terms of Service

These Terms of Service ("Terms") constitute a binding legal agreement between you ("you", "your", or "Customer") and AgileOps, a sole proprietorship established and operating under the laws of The Commonwealth of The Bahamas, doing business as Zirano (which, upon corporate restructuring, conversion, or formal incorporation, shall automatically extend to and include its corporate successor entity, assignee, and affiliates; collectively, "Zirano", "AgileOps", "we", "us", or "our").

These Terms govern your access to and use of Zirano Finance: the cloud bookkeeping web application hosted at app.zirano.finance, the marketing and informational website at zirano.finance, Adam (the artificial intelligence conversational agent embedded within the software), and all associated tools, APIs, and documentation (collectively, the "Service").

By creating an account, launching a workspace, initiating a free trial, clicking an acceptance checkbox, or remitting payment for a subscription plan, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, together with our Privacy Policy and Refund Policy, which are expressly incorporated herein by reference.

If you access or use the Service on behalf of a company, partnership, sole proprietorship, association, or other legal entity, you represent and warrant that you have the lawful corporate and legal authority to bind that entity to these Terms. In such case, "you" and "your" refers collectively to you individually and that entity.


1. Nature of the Service and Professional Disclaimers

1.1 Bookkeeping Software Only

Zirano is a specialized software-as-a-service (SaaS) application designed to assist businesses in recording, importing, tracking, and categorizing financial transactions, generating management accounts, and preparing preliminary calculations (including Bahamian Value Added Tax ("VAT") summaries).

1.2 No Professional Accounting, Tax, or Legal Advice

Zirano is a software technology provider. Zirano, AgileOps, its proprietor, and its operators are not certified public accountants, licensed tax advisors, financial planners, or legal practitioners.

1.4 Third-Party Professional Services

Where our pricing page or marketing channels list professional services (such as "Done-For-You Books", "Bookkeeping & Tax Support", or third-party CPA review), such services are delivered exclusively by independent accounting, audit, or bookkeeping firms ("Partner Firms").


2. Accounts, Security, and Workspaces

2.1 Passwordless Sign-In and Account Security

Access to the Service relies on cryptographically secure, one-time verification codes sent directly to your registered administrative email address. You are solely responsible for safeguarding access to your email account. Any individual capable of accessing your email will have the ability to authenticate into your Zirano account. You agree to notify us immediately at support@zirano.finance if you discover or suspect unauthorized access to your account.

You must be at least eighteen (18) years of age and possess the legal capacity to form a binding contract under Bahamian law to access or use the Service.


3. Free Trial and Promotional Periods

3.1 14-Day Free Trial

New workspaces receive a complimentary fourteen (14) day trial on the Growth Plan tier. Trials require no credit card, debit card, or electronic wallet authorization to activate.

3.2 Trial Expiration and Non-Destructive Rollover

Upon the conclusion of the 14-day trial period, no automated financial charges are incurred. If you do not actively upgrade to a paid subscription, the workspace automatically transitions to our non-expiring Free Plan tier (subject to the provisions of Section 4.1). Your recorded transactions and financial data will not be purged, deleted, or altered as a result of trial expiration.


4. Plans, Billing, and Payments

4.3 Explicit Prohibition of Involuntary Auto-Renewal

Kanoo does not execute automated recurring deductions, and Zirano does not store raw credit/debit card credentials. Each renewal invoice requires proactive confirmation and payment settlement by the Customer. We issue electronic reminders to the workspace Owner prior to subscription term expiration.

4.4 Price Adjustments

We may revise our subscription rates at any time. Any price changes will take effect only after thirty (30) days' prior written electronic notice to the workspace Owner, and will apply strictly to subsequent subscription cycles—never retroactively to an active, prepaid period.

4.5 Tier Adjustments (Upgrades and Downgrades)

4.6 Partner Referral Pricing

If your workspace is registered through an authorized Bookkeeping Partner referral link, the negotiated discount rate applied at account origination remains effective for your ongoing renewals for the duration of the subscription, even if the referring partner ceases their relationship with our Partner Programme.


5. Grace Periods, Non-Payment, and Data Persistence

5.1 7-Day Grace Period

If a paid subscription reaches the end of its prepaid cycle without an approved renewal payment, the workspace enters an active seven (7) day grace period during which full software access is maintained.

5.2 Transition to Free Tier

Following the expiration of the 7-day grace period without payment, the workspace automatically reverts to the Free Plan. You retain the unrestricted legal right to log in, review historical financial ledgers, and export all records.

5.3 Non-Destructive Policy

Zirano will not delete, erase, or alter historical bookkeeping data merely because a subscription lapses or reverts to the Free Plan. Workspace erasure occurs solely upon explicit instruction from the verified Owner or as mandated by court order under Bahamian law.


6. Intellectual Property, Proprietary Rights, and Data Ownership

6.1 Customer Data Ownership

You retain full, exclusive ownership of all legal rights, title, and interest in and to the financial ledgers, bank transactions, contact profiles, receipts, attachments, and confidential records entered into the Service ("Customer Data").

6.2 Limited Processing License to Zirano

You grant Zirano, AgileOps, its operating personnel, and contracted technical sub-processors a worldwide, non-exclusive, royalty-free, limited license to host, display, reproduce, modify, format, and route Customer Data solely to the extent reasonably required to deliver, secure, troubleshoot, and support the Service, or to fulfill legal mandates under Bahamian law.

6.3 Customer Warranties on Uploaded Data

You warrant and represent that you hold all necessary legal rights, permissions, corporate authorizations, and data protection consents required to enter third-party customer, supplier, and financial data into the Service, and to direct our automated systems to dispatch electronic communications (e.g., invoices, statements) to such parties.

6.4 Zirano Intellectual Property

Zirano, AgileOps, and its licensors retain all right, title, and interest in and to the Service, including its user interface, architecture, codebases, graphics, documentation, Adam AI interfaces, databases, and registered or unregistered trademarks. You may not copy, reverse engineer, decompile, adapt, or create derivative works of any component of the Service.


7. Acceptable Use and System Integrity

You explicitly agree not to use the Service, or permit any third party to use the Service, to:

Zirano reserves the legal right to immediately suspend or restrict access to any workspace violating this Section. Where commercially and legally viable, we will provide reasonable advance notice to allow corrective remediation.


8. Service Availability, Maintenance, and Modifications

8.1 Availability Targets

We employ commercially reasonable efforts to maintain continuous availability and data integrity. However, the Service is delivered over public digital networks and cloud infrastructure; we do not guarantee uninterrupted, latency-free, or error-free software execution.

8.2 Maintenance and Updates

We may perform periodic maintenance, security patching, or feature enhancements. We endeavor to execute planned downtime during off-peak commercial hours in The Bahamas and will provide reasonable advance administrative notification when feasible.


9. Term, Suspension, and Termination

9.1 Voluntary Termination by Customer

You may discontinue use of the Service at any time simply by declining to pay renewal invoices. Workspace Owners may permanently delete a workspace from its settings. To delete your personal account, email privacy@zirano.finance; we complete account deletion within thirty (30) days, as described in our Privacy Policy.

10. Limitation of Liability and Legal Disclaimers

10.1 "As-Is" Warranty Disclaimer

To the maximum extent permitted under the laws of The Commonwealth of The Bahamas, the Service is provided strictly on an "AS IS" and "AS AVAILABLE" basis. AgileOps and Zirano disclaim all representations, conditions, and warranties of any kind, whether express, implied, statutory, or collateral, including without limitation implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, quiet enjoyment, and any warranties arising out of course of dealing or trade usage.

10.2 Exclusion of Consequential and Indirect Damages

To the fullest extent permitted by Bahamian law, under no legal theory (whether in contract, tort, negligence, strict liability, restitution, or otherwise) shall AgileOps, Zirano, its proprietor, officers, contractors, licensors, or agents be liable to you or any third party for any indirect, special, incidental, punitive, exemplary, or consequential damages, or for any loss of profits, revenue, data, goodwill, business opportunities, anticipated savings, or commercial disruption, nor for penalties, fines, or assessments levied by the Bahamian Department of Inland Revenue or international revenue bodies, even if advised in advance of the possibility of such damages.

10.3 Financial Liability Cap

Except for liabilities that cannot be limited or excluded under non-derogable Bahamian statutory law, the aggregate and cumulative liability of AgileOps, Zirano, its proprietor, and affiliates arising out of or related to these Terms or the Service shall under all circumstances be strictly capped at and limited to the total monetary amount actually paid by you to Zirano for the Service in the twelve (12) months immediately preceding the event or incident giving rise to liability (or, if you are on a Free Plan or trial period, the sum of $100.00 BSD/USD).

10.4 Non-Excludable Statutory Rights

Nothing in these Terms operates to exclude, restrict, or modify any statutory liability that cannot be legally limited under Bahamian law, including liability for death or personal injury caused by proven gross negligence, or liability for proven common-law fraud or fraudulent misrepresentation.


11. Successorship, Assignment, and Corporate Restructuring

AgileOps currently operates as an unincorporated sole proprietorship in The Commonwealth of The Bahamas. You acknowledge and agree that AgileOps reserves the absolute right to assign, transfer, novate, delegate, or convey these Terms, the Service, all associated software assets, and user agreements to an incorporated limited liability company, corporate successor, or acquiring entity organized under Bahamian or international corporate law, without requiring your individual consent or re-execution of these Terms.

Upon the effective date of any such corporate assignment or incorporation:

  1. The corporate successor entity shall automatically assume all rights, interests, duties, and obligations of AgileOps under these Terms;
  2. All references to "Zirano" and "AgileOps" shall legally apply to such successor entity; and
  3. The sole proprietor shall stand fully released and discharged from all personal contractual obligations and liabilities arising after the effective date of the corporate assignment.

You may not assign, transfer, or delegate these Terms or your workspace rights without our prior written consent.


12. Governing Law, Jurisdiction, and Dispute Resolution

12.1 Governing Law

These Terms and all disputes, claims, or controversies arising out of or relating to their subject matter, formation, or enforceability shall be governed exclusively by, and construed in accordance with, the domestic commercial laws of The Commonwealth of The Bahamas, without regard to principles of conflicts of laws.

12.2 Mandatory Informal Dispute Escalation

Prior to commencing any formal litigation, arbitration, or regulatory proceeding, the aggrieved party agrees to deliver a formal written notice of dispute to the other party detailing the nature of the claim and requested relief. The parties agree to engage in good-faith executive negotiations for a period of at least thirty (30) calendar days from receipt of such notice.

12.3 Exclusive Jurisdiction

If a dispute cannot be resolved informally pursuant to Section 12.2, the parties submit irrevocably to the exclusive personal and subject-matter jurisdiction of the Courts of The Commonwealth of The Bahamas sitting in Nassau, New Providence, for the trial and determination of any suit, action, or proceeding.
